Failure to assent or adherence to non-compliance will result in the exclusion from accessing and using theVocalpanda website.

This Agreement is governed by the laws of Nepal, and by using VocalPanda and agreeing to these terms, the Party explicitly consents to the exclusive jurisdiction of Nepalese courts.

In the context of this Agreement, the following definitions apply:The "VocalPanda Materials" encompass all materials, methodologies, and intellectual property utilized during the provision of services. "Content" constitutes VocalPanda's web pages, programming, graphics, text, data, and any other material available on the VocalPanda website. The term "Document" refers to any content disseminated on the VocalPanda website by Job Seekers or Employers. An "Employer" signifies an entity soliciting applicants for recruitment through the VocalPanda website. "Employer Materials" include any materials provided by Employers for utilization in connection with the Services. A "Job Seeker" denotes a User actively seeking employment or utilizing the VocalPanda website for alternative purposes. The term "Services" encompasses the full spectrum of services provided by VocalPanda. The term "User" extends to any individual or entity engaging with any facet of the VocalPanda website within the bounds of legal and contractual agreements.

Section 4: Terms and Conditions for Jobseekers

4.1User Privileges and Obligations

4.1.1

VocalPanda is designed solely for individuals actively seeking employment opportunities. Users are granted a limited, non-exclusive right to access and utilize VocalPanda.com for personal, non-commercial purposes. The Party assumes full responsibility for the content within any document they share, and VocalPanda disclaims any liability for consequences arising from such submissions. It is essential to recognize that VocalPanda reserves the right to suspend or terminate website access at its sole discretion.

4.1.2

Specific Provisions Pertaining to Website Utilization:Users are required to be at least 18 years old or comply with the applicable age of majority in their jurisdiction if it surpasses 18. In instances where Users are under the age of 18, the use of VocalPanda.com requires oversight by a legal guardian.VocalPanda.com will not facilitate any unlawful or prohibited activities. Users are responsible for ensuring that their engagement with VocalPanda.com complies with both these Terms and Conditions and relevant laws and regulations.

4.1.3

Liability Mitigation:The Party assumes full liability and risk associated with their use of VocalPanda.com. VocalPanda absolves itself of any responsibility concerning data loss.

4.1.4

Feed Conduct and Content Guidelines:Job Seekers may share posts, updates, and professional insights on the VocalPanda Feed. However, posts must remain relevant, respectful, and aligned with the professional purpose of the platform. The following are strictly prohibited:

  • Misleading, false, or deceptive content.
  • Discriminatory, defamatory, or offensive remarks.
  • Spam, promotions unrelated to employment, or unauthorized advertisements.
  • Inflammatory or harmful content.

Content violating these guidelines may be removed without notice. Repeat violations may result in posting restrictions or account suspension.

4.2

Disclaimer Pertaining to Services and Functionality

4.2.1

VocalPanda disclaims any responsibility for disruptions in mail exchange servers that result in email delivery complications.

4.2.2

Termination of Subscribed Services:For subscription cessation, the Party may establish contact viainfo@vocalPanda.com.

4.2.3

Authorization for Account Creation:VocalPanda is vested with the authority to establish an account on behalf of the Party, contingent upon the receipt of written or verbal assent.

Section 5: Terms and Conditions for Employers

5.1

Rights and Restrictions Related to Website Usage

5.1.1

VocalPanda is an exclusive platform for employers engaged in candidate recruitment. Users are granted a restricted, nonexclusive right to access and employ VocalPanda.com for recruitment purposes. Unauthorized sale, transfer, or assignment of Services is prohibited unless substantiated by written authorization from VocalPanda. The Party is exclusively liable for the content encompassed within any Document they post, and VocalPanda reserves the prerogative to suspend or terminate access due to violations of these Terms and Conditions.

5.1.2

Employer Materials:Employer Materials are subject to stringent regulations and must not contravene extant laws, regulations, and third party rights. VocalPanda is accorded a license to employ Employer Materials for the purpose of providing Services.

5.1.3

Warranty Disclaimer & No Liability for Employment Outcomes:VocalPanda is a facilitating platform only not a recruitment agency, staffing firm, or employment consultant. VocalPanda assumes no liability of any kind for employment outcomes and expressly disclaims all responsibility for hiring determinations, candidate performance, or business decisions made by Employers.

This includes but is not limited to:

  • A hired candidate underperforming, resigning early, or being terminated;
  • A candidate misrepresenting their qualifications, experience, or skills on their profile;
  • A vacancy remaining unfilled despite active use of the Platform;
  • Any financial, operational, or reputational loss arising from a hire made through VocalPanda.
VocalPanda provides Employers with candidate profiles that may appear broadly suitable based on the information available on the Platform. Such recommendations are made on a best-effort basis and do not guarantee a perfect match for any specific role. The final decision to interview, shortlist, or hire a candidate rests solely with the Employer. VocalPanda does not independently verify, endorse, or guarantee the qualifications, accuracy, or suitability of any candidate presented through the Platform.

5.1.4

Damages and Liabilities:Employers bear full responsibility for their engagement with VocalPanda.com. VocalPanda absolves itself of any liability pertaining to data loss.

5.1.5

Feed Usage Standards for Employers:Employers may utilize the Feed to share company updates, job openings, and industry insights. The content must remain factual, respectful, and within the professional scope of the platform. The following are prohibited:

Employer's Responsibility in Hiring:Before making any hiring decision, Employers are solely responsible for:

  • Conducting their own interviews, skill assessments, and reference checks;
  • Independently verifying all academic qualifications and professional certifications;
  • Performing background checks appropriate to the role;
  • Ensuring their hiring process complies with all applicable employment laws.
VocalPanda's candidate data is a starting point for recruitment never a final recommendation or endorsement.

5.2

Apportionment of Liability:VocalPanda and its affiliates are held harmless against non direct damages, encompassing losses in profits or data.

5.3

Conduct Protocol:The solicitation of business via communications is strictly prohibited, as is the transmission of unsolicited commercial email to Users.

5.4

Security Provisions:Users are precluded from compromising VocalPanda website security through unauthorized access or interference.

Section 6: Terms and Conditions Applicable to All Users

6.1

Regulations Governing Website Usage:Users are precluded from reproducing, altering, selling, or disseminating Content or VocalPanda Materials. Unauthorized utilization of VocalPanda's trademarks or website design is strictly forbidden and may culminate in account revocation.

6.1.1

Feed Content and Conduct Compliance:All Users are expected to maintain professionalism in their engagement with the VocalPanda Feed. Content shared must not breach applicable laws, infringe upon third-party rights, or contradict the purpose of the platform. VocalPanda retains the right to moderate, remove, or restrict any content or User access deemed in violation of these standards.

6.2

Assignment of Responsibility:VocalPanda disclaims responsibility for User posted Documents and User conduct. Users hold VocalPanda harmless against claims arising from disputes with fellow Users.

6.2.1

Reporting and Moderation:Users are encouraged to report posts or conduct that violate Feed standards. VocalPanda will review such reports and may take appropriate actions, including content removal or User suspension, based on the severity of the violation.

6.3

Warranty Disclaimers:VocalPanda.com is provided on an as-is and as-available basis, without warranties of any kind, express or implied. VocalPanda does not warrant the accuracy, completeness, or reliability of any content, job listing, or candidate profile on the Platform.

In particular, VocalPanda makes no warranty that:

  • Any candidate profile accurately reflects the candidate's true qualifications or experience;
  • Any job listing accurately reflects the actual role, compensation, or working conditions;
  • Use of the Platform will result in a successful hire or employment outcome.

Employers and Jobseekers rely on Platform content entirely at their own risk. VocalPanda assumes no liability for employment outcomes and disclaims all responsibility for hiring determinations made by any party using the Platform.

6.4

User Authentication:VocalPanda cannot substantiate User identities, and Users are compelled to acknowledge associated risks.

6.5

Amendments to this Agreement:VocalPanda reserves the prerogative to amend these Terms and Conditions, with continued use signifying the Party's acceptance of revisions.

6.6

Queries and Notices: VocalPanda retains control over Party accounts. Users are encouraged to report instances of inappropriate content or conduct.

6.7

Posting Regulations:Users are precluded from disseminating discriminatory, obscene, or fraudulent information. Resume postings are obliged to faithfully represent living individuals seeking employment.

6.8

Security Framework:Users are forbidden from any attempts at unauthorized access, interference with services, or transmission of unsolicited email.

Section 7: Accessibility of Public Profiles

7.1

Public Profile Information:Parties making their profiles public grant Employers access to the following information

  • Concise Introduction
  • Work History
  • Projects
  • Educational Attainments
  • Skills
  • Interests and Supplementary Information
  • Resume Information
  • Contact Information

7.2

Voluntary Public Profile:Publicizing one's profile is a voluntary act, conferring Employers with access to specific information. Parties are urged to exercise prudence in their selection of information for inclusion in public profiles.

7.3

Accuracy and Completeness:Parties are responsible for the accuracy and comprehensiveness of data showcased in their public profiles.

7.4

Verification Disclaimer:VocalPanda does not validate the accuracy of information within public profiles and is absolved of liability for consequences arising from Employers' utilization of such data.

7.5

Profile Modification:Parties reserve the prerogative to adjust public profile settings to restrict or expand information accessibility to Employers.

Section 8: Legal Jurisdiction and Adjudication

8.1

Governing Law and Jurisdiction:This Agreement is subject to governance and interpretation in accordance with Nepalese law. Any disputes or matters arising from, or pertaining to, this Agreement shall be subjected exclusively to the jurisdiction of the Nepalese courts.
